Terms of Service

1. Service description

RMMS.Cloud provides cloud-hosted software—including ProfitOps and related analytics experiences—that helps merchants and revenue teams monitor profit, detect anomalies, and operationalize recommendations. Features may vary by platform (Shopify, HubSpot, Salesforce, etc.) and subscription tier.

We may modify, suspend, or discontinue portions of the service with reasonable notice when feasible. Beta or preview features are provided "as available" without uptime guarantees.

2. Accounts & eligibility

You must provide accurate registration details and safeguard your credentials. You represent that you have authority to bind your organization when registering on its behalf. Notify RMMS immediately if you suspect unauthorized access.

3. Customer responsibilities

• Comply with applicable laws, export controls, and marketplace policies.
• Maintain lawful rights to any data you sync into RMMS.
• Not misuse the service—including probing, scraping, or interfering with other tenants—or attempt to reverse engineer our software except where prohibited limitations are unenforceable by law.
• Configure integrations with least-privilege OAuth scopes required for your workflows.

4. Intellectual property

RMMS retains all rights to the platform, documentation, and branding. Subject to these Terms and your subscription, RMMS grants you a limited, non-exclusive, non-transferable license to access and use the service during the subscription term.

5. Fees, trials & taxes

Paid plans are billed according to the checkout flow or order form you accept. Unless stated otherwise, fees are quoted in U.S. dollars, exclude taxes, and renew automatically at the then-current rate until canceled.

• Free tiers may include usage caps or feature limits.
• Trials convert to paid plans only when you explicitly upgrade or when disclosed at signup.
• You authorize RMMS and its payment processors to charge applicable taxes and payment methods on file.

6. Warranties disclaimer

EXCEPT WHERE PROHIBITED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." RMMS DISCLAIMS ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT OUTPUTS WILL BE ERROR-FREE OR THAT ISSUES WILL BE DETECTED IN EVERY CASE.

7. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL.

RMMS' AGGREGATE LIABILITY ARISING OUT OF THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID RMMS FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS ($100), IF YOU HAVE NOT INCURRED FEES.

8. Indemnity

You will defend and indemnify RMMS against third-party claims arising from your data, your misuse of the service, or your violation of these Terms, subject to RMMS promptly notifying you and cooperating in the defense.

9. Suspension & termination

Either party may terminate paid subscriptions according to the cancellation policy presented at purchase. RMMS may suspend access immediately if we reasonably believe you pose a security risk or violate these Terms.

Upon termination, your right to access the service ceases. Sections that by their nature should survive—including confidentiality, disclaimers, limitation of liability, and indemnity—will survive.

10. Governing law & disputes

These Terms are governed by the laws of the State of Delaware, excluding conflict-of-law rules. The exclusive jurisdiction and venue for disputes will be the state and federal courts located in Delaware, unless applicable law mandates otherwise for consumers.

11. General

• These Terms constitute the entire agreement regarding the service and supersede prior oral understandings.
• If a provision is unenforceable, the remainder stays in effect.
• Failure to enforce a provision is not a waiver.
